2. Website & Content Management We reserve the right, at our sole discretion, to:

(b) No Outcome Guarantees: We make no claims, warranties, or guarantees regarding financial, routine, or other specific outcomes or results. You assume total responsibility for how you configure, edit, and apply our spreadsheets.

4. Digital Products & Template License

(a) Single-User License: When you download a free resource or purchase a template, course, or digital asset, you receive a limited, non-exclusive, non-transferable, revocable license for personal household or internal organizational use.

(b) Redistribution Prohibited: You may not resell, sub-license, publicly share drive links, re-upload, distribute, or bundle our templates or formulas into any competing template directory, commercial service, or marketplace.

(c) Refund Policy: Because digital templates, instructional guides, and file copies provide immediate, irreversible access, all sales are final and non-refundable unless explicitly stated otherwise on checkout.

5. Subscriptions & Billing

(a) Recurring Billing: Paid memberships or recurring access tiers automatically renew at the billing interval and price agreed upon during checkout until formally canceled.

(b) Cancellation: You may cancel through your account dashboard at any time. Cancellation takes effect at the end of the current paid billing cycle; past subscription periods are non-refundable.

6. User Feedback & Submissions

(a) License Grant: Comments or ideas posted publicly on our site grant us a perpetual, worldwide, royalty-free license to display, host, and adapt that content.

b) Feature Suggestions: Any spreadsheet formulas, feature requests, or template ideas you submit may be integrated into our public or commercial templates without compensation or attribution owed to you.

7. Copyright & DMCA Takedown Notice If you believe that any material on Sheets Club infringes upon your copyright, submit a takedown request to hello@sheetsclub.com containing:

(a) A description of the copyrighted work claimed to be infringed.

(b) The specific URL or location on our site where the material appears.

(c) Your full legal name, physical address, and contact details.

(d) A statement that you are authorized to act on behalf of the copyright owner.

8. Third-Party Software & Affiliations Our templates are designed to function on third-party spreadsheet applications (such as Google Sheets or Microsoft Excel). We are an independent creator and are not affiliated with, endorsed by, or sponsored by Google LLC or Microsoft Corporation. We are not responsible for third-party software uptime, file format deprecation, or server outages.

9. Warranty Disclaimers & Limitation of Liability

(a) As-Is Provision: All site content, spreadsheets, formulas, courses, and digital tools are provided strictly on an "AS IS" and "AS AVAILABLE" basis without express or implied warranties of merchantability, fitness for a particular purpose, or accuracy.

(b) Damage Exclusion: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages—including financial loss, tax penalties, software calculation errors, lost profits, or data loss—resulting from your use or misuse of our spreadsheets and tutorials.

(c) Maximum Liability: Our aggregate liability for all claims related to these Terms or our products shall not exceed the greater of $25.00 USD or the amount paid by you to Sheets Club in the preceding twelve (12) months.

10. Indemnification You agree to defend, indemnify, and hold harmless Sheets Club, its owners, and operators from any claims, damages, liabilities, and legal fees arising from your use of our website, resources, or templates, your breach of these Terms, or your alteration of our spreadsheet tools.

11. Governing Law & Dispute Resolution These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any legal action arising from these Terms must be resolved exclusively in the state or federal courts located in Las Vegas, Nevada. Both parties agree to negotiate in good faith for at least thirty (30) days before filing any formal action.

12. Severability & Entire Agreement If any section of these Terms is deemed unenforceable, the remaining provisions remain in full force. These Terms constitute the entire agreement between you and Sheets Club regarding digital downloads and site use.

13. Modifications We reserve the right to revise these Terms at any time. Continued use of our site or resources following an update indicates acceptance of the revised Terms.
